These Terms and Conditions ("Terms") are a binding agreement between you and SooNet Inc ("SooNet," "we," "us," or "our") governing your access to and use of Vera, including Vera's websites, mobile applications, software, connected-source features, artificial intelligence features, subscriptions, and related services (collectively, the "Service").

Please read these Terms carefully. By creating an account, clicking a button that indicates acceptance, purchasing a subscription, or otherwise accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not access or use Vera.

If you use Vera on behalf of an organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" includes the organization.

1. Agreement to These Terms

These Terms apply to all users of the Service. Additional terms shown when you use a particular feature, connect a provider, join a trial, or purchase a plan also apply to that feature. If additional terms conflict with these Terms, the additional terms control only for the feature or transaction to which they relate.

Our Privacy Policy explains how we collect, use, retain, and protect personal information. It is incorporated into these Terms by reference.

2. Eligibility

You must be at least 13 years old, or the minimum age required in your country to consent to use an online service, whichever is higher. If you are under the age of legal majority where you live, you may use Vera only with permission from a parent or legal guardian who agrees to these Terms on your behalf.

You may not use the Service if applicable law prohibits you from receiving it or if SooNet previously suspended or terminated your access for a material violation of these Terms.

3. The Vera Service

Vera is a personal memory and life intelligence service. It can connect information from services you authorize, process documents and records you upload, organize information, identify patterns, retrieve evidence, and generate answers or summaries using artificial intelligence.

Features may differ by device, platform, plan, region, connected provider, account history, and availability. Some features may be experimental, require additional permissions, or depend on third-party services outside SooNet's control.

4. Accounts and Security

You must provide accurate and current account information. You are responsible for maintaining the confidentiality of your credentials, securing devices used to access Vera, and all activity that occurs through your account.

Do not share your password, authentication token, or account with another person. Notify us promptly at soonet@soonetinc.com if you believe your account has been compromised. We may require identity or account verification before restoring access, changing sensitive account information, or responding to certain requests.

5. Your License to Use Vera

Subject to your compliance with these Terms, SooNet grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service for your own lawful purposes.

This license does not transfer ownership of Vera or any SooNet technology to you. All rights not expressly granted are reserved by SooNet and its licensors.

6. Connected Services and Authorization

Vera may allow you to connect email, calendar, cloud storage, document, mobile, health, financial, or other third-party accounts and data sources. When you connect a source, you instruct and authorize SooNet to access, retrieve, store, organize, process, and display the permitted information so Vera can provide the features you request.

You represent that you own the connected account or have all permissions necessary to connect it and allow Vera to process its information. You are responsible for complying with the connected provider's terms and permissions. You may revoke access by disconnecting the source in Vera or through the provider.

Providers may limit, delay, change, or discontinue access to their services. Connection status, source coverage, and sync results may therefore be incomplete, delayed, or unavailable. Vera does not guarantee that every item in a connected account will be retrieved or remain available.

6.1 Google Connected Services

If you connect Gmail or Google Drive, you authorize Vera to access and process the Google User Data covered by the read-only permissions displayed on Google's consent screen. Vera uses that information only to provide or improve the user-facing search, extraction, organization, synchronization, citation, and answer features you request.

Google API Limited Use

Vera's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

Google User Data is not used to train, fine-tune, or improve generalized AI or machine-learning models and is not transmitted to Ollama, model publishers, or third-party AI inference services. The Google-specific access, storage, sharing, retention, deletion, and AI-processing practices are described in Section 5 of our Privacy Policy.

7. Your Content and Data

7.1 Ownership

As between you and SooNet, you retain ownership of the prompts, questions, files, documents, records, messages, source data, profile information, and other material you submit, upload, connect, or make available to Vera ("User Content"). SooNet does not claim ownership of your User Content.

7.2 Permission to Process User Content

You grant SooNet a worldwide, non-exclusive, royalty-free license to host, copy, transmit, index, transform, analyze, display, and otherwise process User Content only as reasonably necessary to operate, secure, maintain, support, and improve the Service; comply with law; enforce these Terms; and provide features you request. This license includes permission to use service providers acting on our behalf and ends when the User Content is deleted from our active systems, subject to reasonable backup, legal, security, and retention requirements described in the Privacy Policy. For Google User Data, this license is further limited by Section 6.1 and does not permit SooNet to use that data to train, fine-tune, or improve generalized AI or machine-learning models.

7.3 Your Responsibilities

You represent that you have the rights and permissions needed to provide User Content to Vera and that our processing of it as described in these Terms will not violate law or another person's rights. Do not use Vera as the only storage location for important originals. Maintain independent copies of records you cannot afford to lose.

8. AI Features, Answers, and Output

Vera uses probabilistic artificial intelligence and automated systems. Responses, summaries, classifications, predictions, extracted fields, reminders, citations, and other generated or organized material are referred to as "Output."

AI Output may be inaccurate, incomplete, misleading, outdated, or associated with the wrong source. A citation or evidence link does not guarantee that Vera interpreted the underlying information correctly. You must review the source and independently verify important information before relying on or sharing Output.

Output may not be unique, and other users may receive similar Output. To the extent permitted by law and subject to third-party rights, SooNet does not claim ownership of Output generated specifically for you. Your use of Output remains subject to these Terms and applicable law.

You are responsible for deciding whether Output is suitable for your purpose and for any action you take based on it. Output does not represent SooNet's views or an endorsement of any person, product, source, or service mentioned.

9. No Professional Advice

Vera is an informational and organizational tool. It is not a substitute for a qualified medical, legal, financial, tax, accounting, insurance, safety, or other professional. Do not delay seeking professional advice or emergency help because of Output from Vera.

Do not use Vera as the sole basis for decisions that could materially affect a person's health, safety, liberty, legal rights, finances, employment, education, housing, credit, or insurance. In an emergency, contact the appropriate emergency service or qualified professional.

10. Acceptable Use

You may not, and may not help another person to:

  • Use Vera in violation of applicable law, regulation, court order, or the rights of another person
  • Access, collect, upload, or connect information that you do not own or are not authorized to use
  • Impersonate another person, misrepresent your identity, or conceal the origin of content
  • Harass, threaten, exploit, defame, discriminate against, or cause harm to another person
  • Upload malware, malicious code, unlawful content, or material designed to disrupt or compromise the Service
  • Probe, scan, test, bypass, or defeat authentication, security controls, rate limits, plan limits, or protective measures
  • Reverse engineer, decompile, disassemble, or attempt to discover source code, model weights, algorithms, prompts, or non-public system components, except where law expressly permits it
  • Scrape, harvest, mirror, or use automated means to extract data or Output from Vera except through functionality SooNet expressly provides
  • Use Vera or its Output to develop, train, or improve a competing artificial intelligence model or substantially similar service without SooNet's written permission
  • Buy, sell, lease, sublicense, transfer, or share access credentials or access to your account
  • Use Vera to make fully automated decisions about another person that determine eligibility for employment, housing, credit, insurance, education, healthcare, legal services, or another similarly significant opportunity
  • Use Vera in connection with weapons development, exploitation of children, human trafficking, fraud, surveillance without lawful authority, or other activity that creates a substantial risk of harm

We may investigate suspected misuse and take proportionate action, including restricting a feature, removing unlawful content, suspending an account, preserving relevant records, or reporting conduct when required by law or necessary to protect users, SooNet, or the public.

11. SooNet Intellectual Property

Vera, including its software, interfaces, visual design, trademarks, logos, models, workflows, databases, documentation, and other technology, is owned by SooNet or its licensors and is protected by intellectual property and other laws.

"Vera," the Vera logo, SooNet, and associated names and marks may not be used without prior written permission. No license to SooNet's trademarks or branding is granted by these Terms.

12. Feedback

If you provide ideas, suggestions, ratings, corrections, or other feedback, you grant SooNet a perpetual, irrevocable, worldwide, royalty-free right to use, modify, publish, and incorporate that feedback without restriction or compensation. This does not give SooNet ownership of your underlying User Content.

13. Third-Party Services

The Service may rely on or link to third-party identity providers, data providers, payment processors, cloud platforms, artificial intelligence providers, app stores, websites, and other services. Third-party services are governed by their own terms and privacy policies.

SooNet does not control and is not responsible for third-party services, their content, availability, security, accuracy, acts, or omissions. A link, integration, or reference does not mean SooNet endorses or guarantees the third party.

This section does not authorize the transfer of Google User Data to model publishers or third-party AI inference services. Google User Data is handled as described in Section 6.1 and the Privacy Policy.

14. Paid Plans and Subscriptions

  • Prices, billing intervals, plan features, and usage limits are shown before purchase and may vary by platform, region, taxes, and promotion.
  • Paid subscriptions automatically renew for the same billing interval unless you cancel before the renewal date.
  • You authorize the applicable payment provider to charge your selected payment method for subscription fees, taxes, and other disclosed charges.
  • If payment fails, we may retry the charge, restrict paid features, move your account to a lower plan, or suspend paid access until payment is received.
  • Plan limits may include questions, uploads, storage, connected accounts, source syncing, processing, model access, or other usage. Usage limits reset only as described in the product.
  • Promotional prices, trials, and credits may expire, may be limited to eligible users, and may be subject to additional terms displayed when offered.

We may change subscription prices or plan features prospectively. Where required, we will provide notice before a price change applies to a renewal and obtain any consent required by law. If you do not agree to the change, you may cancel before the change takes effect.

15. Cancellation and Refunds

You may cancel a web subscription through Vera's billing portal. If you purchased through Apple or another app marketplace, you must manage cancellation through that marketplace. Cancellation stops future renewal charges and normally takes effect at the end of the current paid billing period, unless law or the applicable marketplace requires otherwise.

Subscription fees are non-refundable and we do not provide credits for partial billing periods, unused usage, or downgrades, except where required by law, stated in a specific offer, or required by the payment platform's rules. Deleting your account may not automatically cancel a marketplace subscription; cancel it with the applicable marketplace before deleting the account.

Mandatory cancellation, withdrawal, cooling-off, and refund rights under applicable consumer law are not limited by these Terms.

16. Mobile Apps and App Stores

If you download Vera from Apple's App Store or another marketplace, your use is also subject to the marketplace's rules. Purchases made through a marketplace are billed, renewed, cancelled, and refunded by that marketplace under its policies.

16.1 Apple Terms

For the iOS application, these Terms are between you and SooNet, not Apple. SooNet, not Apple, is responsible for Vera and its content, maintenance, support, warranties to the extent not disclaimed, and claims relating to the application. Apple has no obligation to provide maintenance or support.

If the iOS application fails to conform to an applicable warranty that cannot be disclaimed, you may notify Apple and Apple may refund the purchase price, if any, for the application. To the maximum extent permitted by law, Apple has no other warranty obligation. SooNet, not Apple, is responsible for addressing product claims and third-party intellectual property claims relating to Vera.

Your license is limited to a non-transferable right to use Vera on Apple-branded products you own or control as permitted by the Apple Media Services Usage Rules, including permitted Family Sharing. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the Apple-related provisions against you.

17. Availability and Service Changes

We work to keep Vera available, but we do not guarantee uninterrupted, timely, secure, or error-free operation. Maintenance, provider outages, network failures, security events, capacity limits, legal requirements, or other circumstances may delay or interrupt the Service.

We may add, remove, modify, limit, or discontinue features, models, integrations, plan limits, or portions of the Service. We may provide previews, beta features, or experimental functionality that can change or stop at any time and may be less reliable than generally available features.

18. Suspension and Termination

You may stop using Vera at any time and may request account deletion through available account controls or by contacting us. You remain responsible for charges incurred before cancellation takes effect.

We may restrict, suspend, or terminate access if we reasonably believe you violated these Terms, created risk or legal exposure, failed to pay applicable fees, used the Service fraudulently, or if suspension is necessary to protect the Service, users, SooNet, or third parties. Where appropriate, we will provide notice and an opportunity to appeal or cure the issue.

After termination, your right to use the Service ends. Provisions that by their nature should survive will remain effective, including provisions regarding ownership, payment obligations, disclaimers, liability, indemnification, disputes, and general terms. Data handling after termination is governed by the Privacy Policy.

19. Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information and how you may exercise available privacy choices. By using the Service, you acknowledge the practices described in the Privacy Policy.

21. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERA AND ALL OUTPUT, CONTENT, FEATURES, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SOONET AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, QUIET ENJOYMENT, AND THAT THE SERVICE WILL BE ERROR-FREE OR MEET YOUR REQUIREMENTS.

We do not warrant that Vera will retrieve every source item, preserve every record, identify every relevant fact, generate correct Output, detect every conflict, or prevent all loss or unauthorized access. You assume the risk of relying on Output and remain responsible for maintaining authoritative copies of important records.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent permitted by law.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOONET AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, OPPORTUNITY, OR DATA; BUSINESS INTERRUPTION; OR THE COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGE IS POSSIBLE.

To the maximum extent permitted by law, the total aggregate liability of SooNet and the parties listed above for all claims arising from or relating to the Service or these Terms will not exceed the greater of: (a) the amount you paid to SooNet for Vera during the 12 months before the event giving rise to the claim; or (b) one hundred U.S. dollars (US $100).

These limitations apply regardless of the legal theory and even if a remedy fails its essential purpose. They do not limit liability that cannot be excluded or limited under applicable law.

23. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless SooNet and its affiliates, officers, directors, employees, agents, licensors, and service providers from claims, losses, liabilities, damages, judgments, costs, and reasonable legal fees arising from your User Content, your unlawful or prohibited use of the Service, your material violation of these Terms, or your violation of another person's rights.

This section does not require a consumer to indemnify SooNet for SooNet's own unlawful conduct and applies only to the extent permitted by applicable law.

24. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES MOST U.S. DISPUTES TO BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION AND INCLUDES A CLASS ACTION AND JURY TRIAL WAIVER. YOU MAY OPT OUT AS DESCRIBED BELOW.

24.1 Informal Resolution

Before starting arbitration or a court action, you and SooNet agree to try to resolve the dispute informally for at least 30 days. Send a written notice to soonet@soonetinc.com describing your name, account email, the dispute, and the relief requested. SooNet will send notices to the email associated with your account.

24.2 Binding Individual Arbitration

If a U.S. dispute is not resolved informally, either party may require final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act governs this arbitration agreement. Arbitration may occur by video, telephone, document submission, or in person as the applicable rules allow. The arbitrator may award the same individual remedies available in court.

24.3 Exceptions

Either party may bring an eligible individual claim in small claims court. Either party may also seek injunctive or equitable relief in court to stop unauthorized access, security abuse, or infringement or misappropriation of intellectual property. Nothing in this section prevents you from reporting an issue to a government agency where law permits the agency to seek relief.

24.4 Class and Jury Trial Waiver

Disputes must be brought only on an individual basis and not as a plaintiff or class member in a class, consolidated, collective, coordinated, or representative action. The arbitrator may award relief only to the individual party seeking relief. To the extent a dispute proceeds in court, you and SooNet waive any right to a jury trial to the extent permitted by law.

24.5 Arbitration Opt-Out

You may opt out of arbitration by emailing soonet@soonetinc.comwithin 30 days after first accepting these Terms. Your notice must include your full name, the email associated with your Vera account, and a clear statement that you opt out of the arbitration agreement in Vera's Terms and Conditions. Opting out will not affect any other part of these Terms.

24.6 Consumer Rights

This section does not limit mandatory rights or remedies that cannot be waived under the law where you live. If applicable law prohibits arbitration of a particular claim, that claim may proceed in a court of competent jurisdiction while the remaining claims proceed as required by this section.

25. Governing Law

These Terms and any dispute arising from them or the Service are governed by the laws of the Commonwealth of Pennsylvania and applicable United States federal law, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the arbitration provisions.

For disputes not subject to arbitration or small claims court, you and SooNet consent to the exclusive jurisdiction and venue of the state and federal courts located in Dauphin County, Pennsylvania. If you are a consumer outside the United States, this choice does not deprive you of mandatory protections or courts available under the law of your habitual residence.

26. Changes to These Terms

We may update these Terms to reflect changes in the Service, law, security, business operations, or industry practices. We will post the updated Terms and revise the effective date. If changes are material, we may provide additional notice through Vera, email, or another reasonable method before they take effect.

If you do not agree to updated Terms, you must stop using the Service before they take effect. Continued use after the effective date means you accept the updated Terms, except where law requires a different form of consent.

27. General Terms

These Terms, the Privacy Policy, and any applicable additional terms are the entire agreement between you and SooNet regarding the Service and replace prior agreements on the same subject. Section headings are for convenience only.

If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective. SooNet's failure to enforce a provision is not a waiver. You may not assign or transfer these Terms without SooNet's written consent. SooNet may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.

SooNet is not liable for delay or failure caused by events beyond its reasonable control. Electronic notices and communications satisfy any legal requirement that a communication be in writing. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You must comply with applicable export control and sanctions laws and may not use or export the Service where prohibited by United States law.
